Crisis Intel LLC Terms and Conditions
These Terms and Conditions (“Agreement”) govern the relationship between you (“Client”) and Crisis Intel LLC, a limited liability company established under the laws of the United States (“Company”), regarding your use of the consultancy services provided by the Company for Emergency and Disaster Management, Homeland Security, and Business Continuity Management (the “Services”).
Services: Company will provide Client with the Services in accordance with the terms set forth in this Agreement. The precise scope of Services will be determined based on the individual needs of the Client and outlined in a separate Service Agreement to be signed by both parties.
Confidentiality: Both parties agree to keep confidential all information obtained from the other party and will only use such information for the purposes of fulfilling their obligations under this Agreement.
Intellectual Property: All materials, reports, plans, and other deliverables developed by the Company in the course of providing the Services will remain the intellectual property of the Company, but will be licensed to the Client for their exclusive use.
Payment: Client agrees to pay the Company the agreed-upon fees for the Services, as outlined in the Service Agreement. Payment terms will be NET 30 from the invoice date unless otherwise agreed upon.
Limitation of Liability: The Company will not be liable for any indirect, incidental, special or consequential damages arising from the use of the Services or any reports, recommendations, or plans provided by the Company.
Indemnification: Client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including attorneys’ fees and costs, arising out of or in any way connected with Client’s access to or use of the Services.
Dispute Resolution: Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, will be referred to and finally resolved by arbitration under the rules of the American Arbitration Association.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company is registered, without regard to its conflict of law provisions.
Amendment: The Company reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on the Company’s website.
Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
Please read these Terms and Conditions carefully before using the Services. By using the Services, you agree to be bound by this Agreement. If you do not agree to these Terms, please do not use the Services.
